These appendixes and update letter (“Material”) may be used only for the purposes set forth in the confidentiality or non-disclosure agreement (the “Confidentiality Agreement” or “NDA”) between the recipient of this Material and Terahertz Group Ltd. and/or any of its affiliates and/or subsidiaries (the “Company” or “TERA”). The recipient shall not photocopy, reproduce, disclose or distribute this Material, in whole or in part, to any other person at any time except strictly in accordance with the terms of the NDA. By its acceptance hereof, each recipient declares to be aware of the contents of the Confidentiality Agreement and agrees to be bound by its terms. Except where otherwise indicated, this Material speaks as of the date hereof, and is being regularly updated as new information/assessment become available. The delivery of this Material shall not, under any circumstances, create any implication that there has been no change in the affairs of the company since the date hereof. This Material has been prepared solely for informational purposes and does not purport to contain all of the information that a prospective purchaser/investor may require. In furnishing this Material, neither the Company nor its representatives undertake any obligation to update any of the information contained herein or to correct any inaccuracies which may become apparent. This Material shall remain the property of the Company. TERA reserves the right to require the return of this Material (together with any copies or extracts thereof) at any time in accordance with the NDA. This Material does not constitute an offer, solicitation of an offer, invitation or recommendation for any transaction or the sale or purchase of any securities and shall not form the basis of any contract. Most trademarks in this Material are being legally protected.
